Cal-Bay International, Inc.(CBYI)

About Cal-Bay

A Nevada corporation formed in December 1998, formerly Var-Jaz Entertainment was acquired by Cal-Bay International, Inc in march 2001 when the name change became effective to Cal-Bay International, Inc.

Cal Bay was a manufacturer's representative and distribution company currently serving California, Nevada and Hawaii in process, environmental, safety and laboratory markets. Cal Bay also targets new technologies and products for marketing and distribution. The Company supplies analytical products, services and associated equipment through license and distribution agreements.

On January 7, 2005, Cal-Bay International, Inc. announced the resignations of Robert J. Thompson and Charles A. Prebay from its board of directors and as officers of the company. Mr. Thompson served as President and CEO, and was the Chairman of the Board of Directors. Mr. Prebay served as Vice President and CFO, and was the Secretary and Treasurer and was also a member of the Board of Directors. The resignations of Mr. Thompson and Mr. Prebay were not due to any disagreements or other conflicts with Cal-Bay International. On January 7, 2005, Cal-Bay International, Inc. announced the appointment of Roger Pawson to its Board of Directors, where he will serve as Chairman of the Board. Mr. Pawson was also appointed to the positions of President and CEO, Secretary and Treasurer of Cal-Bay International, Inc.

Cal-Bay OTC: CBYI continued to follow the company’s business plan and began acquiring a portfolio of residential and commercial real estate properties and land parcels for development. In excess of $30M by mid 2006. The company became a victim of the declining Real Estate market in early 2007 and the portfolio was sold to mitigate major losses at the time the company had a $14M asset in the form of a 360 acre development land parcel in Boca Raton, Florida which became challenged in title by an authorized party claiming ownership in the property. Cal-Bay had irrevocable proof and title to the property and the lawsuit filed in Aberdeen, Mississippi continued through 2011, when the company’s replacement management from 2008 failed to follow through with Attorneys fees and filings and the case was lost and the asset discharged.

In 2008 the company’s management was replaced by newly appointed President Shaun Bailey as sole officer and director of Cal-Bay International, Inc. Management restructured the companies stock by way of a reverse stock split, but continued to maintain a small real estate portfolio.

In 2011 Shaun Bailey was replaced by newly appointed President Kevin Denniston, who to date has worked to restructure the company’s business plan and diversify the operations to include acquisitions of subsidiary companies and technology in the “Clean Energy & Clean Power” sectors.

Cal-Bay International's "Green" team currently has projects in the following sectors.

CLEAN POWER & ENERGY, & BIO-FUELS FROM RENEWABLE FORESTS

Bio-fuels are a critical part of the solution for a sustainable, renewable energy future. However, many of today's bio-fuels directly compete with our food sources by using traditional food crops like corn and soybeans, requiring agricultural lands. This can create food shortages and lead to higher food prices. The ideal solution is a biofuel feedstock that is a compliment to - and not a user of - traditional food crops.

This renewable forest tree is ideally suited for cellulosic biofuel and bioenergy production, based on high biomass yield per acre, re-growth without replanting, and ability to grow on marginal soil. It is also ideal for reforestation of deforested third world rainforests and plantations with high-quality, fast-growing, income-generating biomass or lumber for the production of Clean Energy and Bio-Fuels, along with premier aviation fuels. The tree thrives in conditions unsuitable for food production, and uses grey or undrinkable water for fertilization and ultimately allows localized production of heat, electricity, and/or biofuels.

The trees when harvested are chiped into minimal size chips and processed through a mobile gasification equipment system, which forms a syngas which can be processed into clean energy onsite and fed directly into the “National Grid” system or reprocessed to produce aviation or Bio-Diesel fuels.

The Gasification process:

Gasification has been used to generate energy for over a century and is cleaner and more efficient than traditional "burn" or combustion processes. Today there are over 140 existing gasification plants worldwide generating clean energy in 26 countries.

Gasification is the process of breaking down carbon-based materials into a high-energy gas by applying extreme temperatures in an oxygen-starved environment. Just like covering a candle with a jar, without oxygen the material can't burn. High temperatures and limited oxygen allows gasification to significantly reduce harmful emissions compared to either incineration or landfills.

Gasification's primary output is a clean synthetic gas called "syngas" which is similar to natural gas or propane. Syngas has many commercial uses including electricity generation, biofuels production and powering hydrogen fuel cells. Gasification transforms waste into syngas – a flexible, local fuel source that's significantly cleaner than fossil fuels. In addition, gasification has other advantages over burning:

Greater reduction of waste volume: 90-95% reduction vs 60-70% reduction

Higher energy efficiency
More effectively detoxifies hazardous materials.

NATURAL GAS PRODUCTION FROM WASTE LIQUIDS

A PLASMA ARC FLOW process gasifies a number of liquid wastes into usable byproducts. These byproducts include: a gaseous fuel , heat, carbon precipitates and sterile effluent liquid that is under development for organic liquid fertilizer or irrigation water. This process is a cost competitive and clean burning fuel that is essentially interchangeable with Natural Gas or it can be mixed with Natural Gas. It has the lowest Green House gas emissions when compared to fossil fuel. The refinery has no odor or noise pollution as it runs quietly in a completely sealed environment. The fuel can be used for metal cutting, cooking, heating, or powering natural gas bio- fuel for automobiles with no emissions or pollution.

The technology is a form of Plasma Arc Flow and it is based in flowing the liquid waste such as but not limited to raw sewage through a submerged electric arc between coal electrodes. The arc decomposes the liquid molecules into atoms and forms a plasma around the tips of the electrodes at about 10,000°F. The Plasma Arc Flow moves the plasma away from the electrodes and controls the formation of a natural Gas liquid effluent and carbonaceous precipitates collected in a strainer for periodical removal.

The Plasma Arc Flow technology convert's most liquid waste into a clean natural gas fuel and is a cost competitive synthetic gas made from many liquid wastes such as sewage, sludge, animal manure, glycerin, used antifreeze, some oil based liquids and waste water. The natural Gas is a hydrogen based fuel that has a combination of hydrogen, carbon monoxide and inert trace gases.

SOLAR ENERGY

Cal-Bay is working with an East Coast developer who has an developed an advanced multi-tier solar panel system. Cal-bay has been testing the units in both residential and commercial applications for several months and plans to announce the financial savings results along with an exclusive distribution agreement for the multi tier system.

ELECTRIC POWERED VEHICLES

Cal-Bay is currently in the process of negotiating North American distribution and manufacturing rights and agreements with a Asian electric powered vehicle manufacturing company, specializing in the manufacture of light pick up and delivery vehicles for suburban 5-7 hour use per single battery charge. More information will be available during the first quarter of 2012.
